Terms of Service

1. Acceptance of Terms

By accessing or using SceneVault.art (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you and Zentivox LLC, the company that operates SceneVault.art ("SceneVault", "we", "us", or "our").

2. Account Registration

To purchase credits or download images, you must create an account. You must be at least 18 years of age to register. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information during registration and keep it up to date. You must notify us immediately of any unauthorized use of your account.

3. Image Licensing

Images available through SceneVault are licensed, not sold. Each image is available in two tiers: Standard and HD. The Standard license provides a standard-resolution file suitable for digital use and small-format print. The HD license provides the highest available resolution for large-format print and professional production. Both license tiers grant you a non-exclusive, non-transferable, worldwide right to use the image in your projects. The specific permitted and prohibited uses are detailed on our Licensing page. You must comply with the license terms for every image you download.

4. Credits System

SceneVault uses credits. You can get credits by buying a credit pack or through a subscription, and you spend them on image downloads (the cost depends on the license tier, Standard or HD) and on AI features such as editing and upscaling. Credits from credit packs, gift codes and promotional grants do not expire. Subscription credits are added at the start of each billing month and expire at the end of that month; unused subscription credits do not roll over. When you spend credits, subscription credits are used first. Credits have no cash value and cannot be transferred. Credit prices and the credit cost of images and AI features may change, but changes do not affect credits you already hold or images you already downloaded. If a payment is refunded or disputed, the credits granted for that payment are removed from your account to the extent they have not been used.

5. Prohibited Uses

You may not: (a) redistribute, resell, or sublicense images in their original or minimally modified form; (b) use images as part of a dataset for AI model training, machine learning, or similar technologies; (c) use images in pornographic, defamatory, or unlawful content; (d) use images in a manner that implies endorsement by SceneVault of any product, service, or viewpoint; (e) register images as trademarks, service marks, or design patents; (f) claim authorship or copyright ownership of the images; (g) use automated systems to scrape, crawl, or bulk-download images without written authorization. Violation of these terms may result in immediate account termination and license revocation.

6. Payment and Pricing

All prices are listed in United States Dollars (USD). Payment is processed securely through Stripe. Subscriptions renew automatically at the end of each billing period (monthly or annually) and are charged to your saved payment method until you cancel. You can cancel at any time from Manage subscription in your account; cancellation takes effect at the end of the current billing period, and you keep that period's credits until it ends. Annual plans are billed once a year and grant credits monthly. We reserve the right to change pricing at any time; we will notify subscribers before a price change applies to their renewal. You are responsible for any applicable taxes associated with your purchases. Credit pack purchases are final, subject to the exceptions described in our Refund Policy.

7. Intellectual Property

All images, content, software, trademarks, and other intellectual property on SceneVault are owned by or licensed to SceneVault. Your purchase of credits and download of images grants you a limited license as described in Section 3 and on our Licensing page. No ownership of any intellectual property is transferred to you. You may not copy, modify, or distribute any part of the Service or its content except as expressly permitted by these Terms.

8. Account Termination

We may suspend or terminate your account at any time if you violate these Terms. Upon termination for cause: (a) all image licenses granted to you are immediately revoked; (b) you must delete all downloaded images and cease any use thereof; (c) any remaining credits in your account are forfeited. You may also request voluntary account deletion by contacting [email protected].

9. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not responsible for any damages arising from your use of downloaded images in violation of these Terms.

10. Limitation of Liability

To the maximum extent permitted by applicable law, SceneVault's total aggregate liability to you for any claims arising from or related to the Service shall not exceed the total amount you have paid to SceneVault in the twelve (12) months immediately preceding the event giving rise to the claim. In no event shall SceneVault be liable for any indirect, incidental, special, consequential, or punitive damages.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions.

12. Dispute Resolution

In the event of any dispute arising from these Terms or the Service, the parties agree to first attempt to resolve the dispute through good-faith negotiation for a period of thirty (30) days from the date of written notice of the dispute. If the dispute cannot be resolved through negotiation, either party may bring a claim in the state or federal courts located in the State of Wyoming, and both parties consent to the exclusive jurisdiction and venue of such courts.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify registered users via email and post the updated Terms on the Service with a revised "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. If you do not agree with any changes, you must stop using the Service.

14. General

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms, together with our Privacy Policy, Refund Policy, and Licensing terms, constitute the entire agreement between you and Zentivox LLC, the operator of SceneVault.art.
